Give us the access we need — Google Business Profile, customer data, systems we are connecting to
Ensure you have a lawful basis to share your customers' personal data with us, and that your own privacy notice covers our processing on your behalf
Not ask us to contact anyone who has opted out or asked not to be contacted
Review and approve message content before it is sent
Comply with the platform rules of any review site we work with
You remain the data controller for your customers' personal data. We act as your processor under a separate data processing agreement, which forms part of these terms.
7. What we will not do
We operate within Google's review policies and applicable UK law. We will not:
Write, buy or fabricate reviews
Filter or gate customers based on how they are likely to review you ("review gating")
Offer incentives in exchange for reviews
Request reviews from people who are not genuine customers
Remove or suppress genuine negative reviews
If you ask us to do any of these we will decline, and repeated requests may result in termination.
These practices risk permanent removal of your Google Business Profile. We do not put clients in that position.
8. What we cannot promise
We can send review requests. We cannot control whether your customers respond, what they write, or how review platforms display or rank the results.
We make no guarantee about:
The number of reviews you will receive
Your rating or star average
Your position in search results or map listings
Results depend on your customer base, the quality of your service, and factors outside our control.
Any figures we quote are examples, not promises.
9. Messaging and compliance
Review requests are sent by email and, where appropriate, SMS.
You confirm that the customers whose details you provide have an existing relationship with your business and have not opted out of contact.
Every message includes a means of opting out. We honour opt-outs immediately and permanently.
We may decline to send any message we consider unlawful, misleading, or in breach of platform rules.
10. Intellectual property
Any system, template, workflow, page or process we build remains our property. You are granted a licence to use it for the duration of your subscription.
If your subscription ends, that licence ends. We will not transfer underlying systems or templates.
Content you supply — your logo, photographs, text, customer data — remains yours.
We may reference you as a client and describe results achieved, unless you tell us in writing that you would rather we did not.
11. Liability
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability to you in any 12-month period is limited to the fees you paid us in that period.
We are not liable for:
Loss of profit, business, goodwill or anticipated savings
Action taken by Google or any other platform against your listing
Failures caused by third-party services we rely on
Consequences of inaccurate data you supply
We are not liable for indirect or consequential loss.
12. Suspension and termination
We may suspend or terminate your service if:
Payment is not made
You breach these terms
You ask us to do something unlawful or against platform rules
Continuing would expose either of us to legal or reputational risk
We will give notice and an opportunity to put things right where it is reasonable to do so.
On termination we stop sending messages on your behalf, and delete or return your customer data within 30 days on request.
13. Changes to these terms
We may update these terms. We will give at least 30 days' notice of material changes affecting existing clients. Continuing to use the service after that constitutes acceptance.
14. General
These terms are the entire agreement between us regarding the services.
You may not transfer your rights under them without our written consent.
If any provision is found unenforceable, the rest continues to apply.
Nothing in these terms creates a partnership, employment relationship or agency between us beyond that described.
15. Governing law
These terms are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
